The agreement between your organization and Agence Hélium Inc. for the use of GENSY.EMAIL. This English version is provided for convenience; if it differs from the French version, the French version prevails.
These terms (the “Terms”) govern access to and use of the GENSY.EMAIL service (the “Service”), published by Agence Hélium Inc. (“Helium Agency Inc.”, “Gensy”, “we”), a corporation incorporated in Quebec, Canada — NEQ 1177643112, business number (Canada) 722984804, Québec (Québec) G2K 0H7, Canada. By creating an account or using the Service, you accept these Terms on behalf of the organization you represent (the “Customer”). The Service is offered to organizations located in Canada and the United States.
The Service makes it possible to create, manage and deploy email signatures and banner campaigns for the Customer’s employees, including through optional integrations available from the Starter plan up (Google Workspace, Microsoft 365, Outlook add-in, API keys and MCP connector). We may change the Service over time; material changes are announced in the application.
The Customer is responsible for the accuracy of its account information, the confidentiality of its credentials and API keys, and the use of the Service by its members. Any use detected as fraudulent or abusive, or a serious breach of these Terms, may result in suspension of the account or of the workspace concerned: no emails, deployments or AI features, API keys refused, images and the public signature page unavailable. Support explains what lifts the suspension. A failed payment does not lead to suspension.
For employee data that the Customer imports into the Service (names, contact details, photos, etc.), the Customer remains responsible for the protection of personal information and Gensy acts as a service provider within the meaning of Quebec’s Law 25 and PIPEDA. The Customer warrants that it is authorized to entrust this information to the Service, that it has informed its employees (including, where applicable, about signature statistics tracking — disabled by default and can be enabled in the settings) and that it honours their rights (access, rectification, destruction). Details of our commitments are set out in the Privacy Policy and in the list of our subprocessors; a data processing agreement is published on the website (Data Processing Agreement); a signed copy can be obtained on request at vincent@gensy.email.
In particular, you may not use the Service to:
The plans, quotas and prices in effect are presented in the application. Billing is handled by our provider, Stripe. Unless otherwise stated, subscriptions renew automatically and may be cancelled at any time, effective for the following period, from the billing portal. Applicable taxes are added where required — our registration numbers: GST 722984804RT0001, QST 1229598054TQ0001. The first payment of a first subscription is refunded in full on request made within 30 days to vincent@gensy.email. Otherwise, a cancellation takes effect at the end of the current period, with no pro-rata refund, and the workspace then moves to the Free plan; deleting a workspace or the account cancels the subscription immediately, with no pro-rata refund.
The Service, its code and its trademarks remain the property of Agence Hélium Inc. Content imported by the Customer (logos, photos, data) remains the property of the Customer, which grants us a licence limited to providing the Service. The signatures generated belong to the Customer.
The Service is provided “as is”, without any guarantee of uninterrupted availability. We make commercially reasonable efforts to keep it available and to fix issues reported through the built-in support.
To the extent permitted by law, Gensy’s total liability in connection with the Service is limited to the amounts paid by the Customer during the twelve (12) months preceding the event giving rise to the claim. Gensy is not liable for indirect damages or for the content of emails sent by the Customer. Nothing in these Terms limits the Customer’s mandatory rights under applicable legislation, including the Consumer Protection Act (Quebec), where applicable.
The Customer may delete its account at any time (My account > Security > Delete my account), or a workspace (Settings > Reset, owner): deletion is immediate and permanent (see the Privacy Policy) and cancels the subscription immediately, with no pro-rata refund; signatures already installed in mailboxes stay in place. We may suspend or terminate an account in the event of a serious breach of these Terms, after a formal notice that has gone unheeded where required by law.
These Terms are governed by the laws applicable in Quebec and the federal laws of Canada. Any dispute falls within the jurisdiction of the competent courts of the judicial district of Québec, subject to the mandatory jurisdiction rules applicable to consumers. An English version (Terms of Use) is provided for convenience; in the event of any discrepancy, the French version prevails. The parties confirm their wish that these Terms be drawn up in French; you may require the French version before entering into the agreement (Charter of the French Language).
